If you enter into a separate written agreement with CFM and there is any inconsistency between that agreement and these Terms, the specific commercial agreement will prevail with respect to the subject matter covered by it.

These Terms are not intended to replace a negotiated manufacturing or supply agreement.

4. Eligibility and Authority

By using the Website on behalf of a company, organization, distributor, retailer, brand, or other legal entity, you represent that:

11. Minimum Order Quantities

Certain products, packaging formats, formulations, or private-label manufacturing projects may be subject to minimum order quantities (“MOQs”).

MOQs may depend on:

Applicable MOQs will be communicated during the quotation or contracting process.

12. Private-Label and Contract Manufacturing

13. Customer-Supplied Information and Specifications

Where a customer provides CFM with formulas, recipes, specifications, designs, claims, packaging materials, trademarks, artwork, nutritional statements, product names, instructions, or similar materials, the customer represents that it has the right to provide and authorize CFM to use those materials for the applicable project.

Unless CFM expressly assumes responsibility under a written agreement, the customer remains responsible for ensuring that customer-supplied materials:

  • are accurate
  • do not infringe third-party rights
  • comply with applicable law
  • are appropriate for their intended market
  • contain all required approvals and permissions

14. Packaging and Artwork Approval

For custom or private-label manufacturing, CFM may require the customer to approve artwork, labels, packaging specifications, proofs, or similar materials before production.

Customer approval may constitute confirmation that the customer has reviewed matters including:

  • spelling
  • branding
  • trademarks
  • ingredient declarations
  • nutrition information
  • allergen statements
  • product claims
  • warnings
  • instructions
  • net quantity
  • barcodes
  • other label information

Responsibility for regulatory approval should be allocated in the parties' applicable commercial agreement.

CFM should not be considered to have provided legal or regulatory approval merely because it manufactures or prints according to customer-approved artwork.

15. Food Safety and Quality

CFM is committed to manufacturing food products in accordance with applicable quality and food-safety requirements relevant to its operations and contractual obligations.

Specific quality standards, testing protocols, certificates of analysis, audit requirements, manufacturing tolerances, acceptance criteria, or customer-specific quality obligations must be agreed separately where applicable.

Nothing on the Website should be interpreted as a guarantee that a particular certification, regulatory authorization, or quality standard applies to every product or project.

Customers should confirm the requirements relevant to their intended products and destination markets before ordering.

16. Ingredients, Allergens and Dietary Information

Food ingredients and production conditions can vary by product, formulation, customer specification, and manufacturing arrangement.

Unless expressly agreed otherwise:

  • samples are for evaluation purposes
  • samples may differ from commercial-scale production
  • provision of a sample does not guarantee manufacturing availability
  • sample approval does not waive applicable commercial or quality specifications
  • development timelines are estimates rather than guaranteed completion dates

Charges may apply for development, samples, tooling, laboratory work, shipping, packaging, or other associated services.

19. Orders

Orders for products are subject to:

  • CFM's written acceptance
  • manufacturing capacity
  • raw-material availability
  • packaging availability
  • agreed specifications
  • credit approval where applicable
  • the terms of the relevant quotation, purchase order confirmation, or supply agreement

CFM may decline, modify, or request clarification regarding an order before acceptance.

Once accepted, cancellation or modification rights will be determined by the applicable commercial agreement.

20. Pricing

Unless otherwise expressly agreed:

  • prices are quoted in the currency identified in the applicable quotation
  • prices exclude taxes, duties, freight, insurance, customs charges, and similar charges unless expressly included
  • prices may depend on agreed quantities and specifications
  • prices may be adjusted where permitted by the relevant agreement

21. Taxes, Duties and Government Charges

Customers are responsible for taxes, customs duties, import fees, levies, tariffs, and similar governmental charges associated with their purchases to the extent allocated to them under the applicable agreement or applicable Incoterm.

CFM may collect or invoice taxes where required by law.

22. Payment

Payment terms for commercial transactions will be established through the applicable quotation, invoice, purchase order, or written agreement.

CFM may require, depending on the transaction:

  • advance payments
  • letters of credit
  • bank transfers
  • credit approval
  • other agreed payment arrangements

Late or unpaid amounts may result in suspension of production or delivery to the extent permitted under the applicable contract and law.

23. Production and Lead Times

Production schedules and estimated lead times depend on various factors, including:

  • packaging availability
  • approved artwork
  • customer approvals
  • manufacturing capacity
  • order size
  • transportation
  • regulatory requirements
  • events beyond CFM's reasonable control

Unless expressly guaranteed in writing, stated lead times are estimates.

24. Shipping and Delivery

Delivery terms, freight responsibility, delivery location, risk of loss, title, insurance, and associated costs will be determined by the parties' applicable quotation, purchase order, contract, or agreed Incoterm.

CFM is not responsible for delays caused by third-party freight providers, customs authorities, ports, government action, or circumstances beyond its reasonable control except to the extent expressly assumed under a written agreement or required by law.

25. Inspection and Commercial Claims

Customers should inspect commercial shipments within the period specified in the applicable supply agreement or sales documentation.

Claims concerning shortages, visible damage, non-conformity, packaging defects, or similar issues should be reported promptly and should include sufficient supporting information to allow investigation.

Specific inspection, rejection, replacement, refund, or claims procedures will be governed by the applicable commercial agreement.

26. Returns

Food products may be subject to special safety, traceability, and handling considerations.

Accordingly, products may not be returned without prior written authorization from CFM.

Return eligibility, where applicable, will depend on the nature of the issue, product condition, food-safety requirements, contractual terms, and applicable law.

Custom-manufactured, private-label, or made-to-order products generally may not be returned merely because the customer changes its commercial requirements, except where expressly agreed otherwise.

27. Product Recall and Safety Incidents

Where a food-safety concern, regulatory issue, or potential product recall arises, CFM and the applicable customer should cooperate in accordance with:

  • applicable law
  • traceability requirements
  • regulatory obligations
  • food-safety procedures
  • any applicable supply or quality agreement

Specific allocation of recall responsibilities and costs should be established in the relevant commercial agreement where appropriate.

Nothing in these Terms limits obligations imposed by applicable food-safety law.

Ownership of newly developed formulas, recipes, designs, tooling, packaging, or other development work should be expressly addressed in the applicable project agreement.

31. Information You Submit to CFM

When you submit a contact form or other communication through the Website, you agree to provide accurate information.

Unless protected by a separate confidentiality or non-disclosure agreement, you should not submit highly confidential trade secrets, proprietary formulas, commercially sensitive recipes, or similarly sensitive information through a general Website contact form.

32. Feedback

If a dispute cannot be resolved informally, and unless mandatory law or a separate written agreement provides otherwise, disputes arising from these Terms will be submitted to the competent courts having jurisdiction over CFM's registered office in the Ouest Department, Haiti.

Separate manufacturing, private-label, distribution, or supply agreements may contain different dispute-resolution procedures, including arbitration, and those provisions will take precedence for disputes arising under those agreements.

49. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Where possible, the affected provision should be interpreted or modified to reflect its original purpose while remaining enforceable.

50. No Waiver

A failure by CFM to exercise or enforce a right under these Terms does not constitute a waiver of that right.

Any waiver must be expressly made by an authorized representative of CFM.

51. Assignment

You may not assign your rights or obligations under these Terms without CFM's prior written consent where consent is legally permitted to be required.

CFM may transfer rights relating to the Website as part of a restructuring, merger, acquisition, sale of business, or similar corporate transaction, subject to applicable law.

52. Entire Agreement Regarding Website Use

These Terms, together with CFM's Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement between CFM and the user concerning general use of the Website.

They do not supersede a separately executed commercial agreement governing manufacturing, product supply, distribution, private-label services, confidentiality, or another business relationship.

These Terms may be translated for convenience.

Where CFM publishes versions in multiple languages, CFM should specify which version controls in the event of inconsistency.

Recommended wording if English is intended to control:

In the event of any inconsistency between the English version of these Terms and a translated version, the English version will prevail to the extent permitted by applicable law.
